PREAMBLE

This Terms and Conditions of Service Agreement (hereinafter referred to as the "Agreement") constitutes a legally binding contractual arrangement entered into by and between:

  1. LM INNOVATION PRIVATE LIMITED (hereinafter referred to as "LMIPL," "Company," "We," "Our," or "Us"), a private limited company duly incorporated and existing under the Companies Act, 2013, having its registered office situated at [Insert Full Registered Address], and operating under the brand name "LittleMove"; and
  2. Any natural or legal person, entity, or organization (hereinafter referred to as "User," "You," or "Your") accessing, registering, installing, or utilizing, whether directly or indirectly, the LittleMove Platform (as defined hereinbelow), including but not limited to:
    • Educational institutions, schools, or administrative bodies (collectively, "Schools")
    • Parents, legal guardians, or authorized caregivers (collectively, "Parents")
    • Drivers, transport operators, fleet managers, or third-party logistics providers (collectively, "Drivers")
    • Any other individual or entity granted access by LMIPL or its affiliates

BY EXECUTING THIS AGREEMENT THROUGH YOUR AFFIRMATIVE ACTION OF CLICKING "I AGREE," REGISTERING AN ACCOUNT, DOWNLOADING THE MOBILE APPLICATION, OR OTHERWISE ACCESSING OR UTILIZING THE PLATFORM IN ANY MANNER WHATSOEVER, YOU HEREBY ACKNOWLEDGE, UNDERSTAND, AND IRREVOCABLY CONSENT TO BE LEGALLY BOUND BY THE TERMS AND CONDITIONS SET FORTH HEREIN, IN THEIR ENTIRETY, WITHOUT MODIFICATION, RESERVATION, OR LIMITATION.

IF YOU DO NOT UNEQUIVOCALLY AGREE TO ALL OF THE PROVISIONS CONTAINED IN THIS AGREEMENT, YOU ARE EXPRESSLY PROHIBITED FROM ACCESSING, USING, OR DERIVING ANY BENEFIT FROM THE PLATFORM, AND YOU MUST IMMEDIATELY CEASE ALL SUCH ACTIVITIES AND UNINSTALL ANY ASSOCIATED SOFTWARE OR APPLICATIONS.

1. DEFINITIONS & INTERPRETATIVE CLAUSES

For the purpose of this Agreement, the following capitalized terms shall have the meanings specified below:

Platform

The term "Platform" refers collectively to LittleMove's proprietary technology ecosystem, comprising: (i) the software-as-a-service (SaaS) solution developed and maintained by LMIPL, including all web-based portals (such as www.littlemove.in and dashboard.littlemove.in), mobile applications (including the LittleMove Parent App and Driver App), application programming interfaces (APIs), webhooks, integration tools, and cloud-based data infrastructure; (ii) IoT-enabled hardware components such as GPS tracking devices, RFID tags, biometric scanners, telematics units, OBD dongles, and beacon sensors; and (iii) all associated documentation, user manuals, and technical specifications provided by LMIPL.

Services

"Services" means the comprehensive suite of functionalities delivered through the Platform, including but not limited to: real-time vehicle tracking using geolocation technology; intelligent route optimization incorporating real-time traffic data, weather conditions and historical patterns; automated student attendance systems utilizing RFID or biometric verification; multi-channel communication systems delivering notifications via SMS, push alerts, in-app messages and email; predictive analytics tools for route efficiency monitoring, fuel consumption analysis and maintenance planning; emergency response features including SOS triggers and collision detection; and API integrations with third-party systems such as school ERP platforms and payment gateways.

Subscription Plan

"Subscription Plan" denotes the specific commercial arrangement governing a School or Enterprise User's access to Services, as documented in: (a) formal Order Forms; (b) Service Level Agreements (SLAs); (c) Master Service Agreements (MSAs); or (d) subsequent invoices, renewal notices or contractual amendments issued by LMIPL.

User Data

"User Data" encompasses all information processed through the Platform, including: (1) Personally Identifiable Information (PII) such as student details (names, ages, grade levels, medical information), parent/guardian contact data, and driver credentials; (2) Operational Data including vehicle identification details, route histories, trip logs, GPS coordinates, and vehicle performance metrics; and (3) Derivative Data comprising analytical outputs, usage patterns and behavioral insights generated by the Platform.

Force Majeure Event

"Force Majeure Event" means any extraordinary circumstance beyond LMIPL's reasonable control, including natural disasters (earthquakes, floods, hurricanes, pandemics), government actions (legislative changes, embargoes, internet shutdowns), technological failures (cyberattacks, DNS outages, cloud service disruptions), or sociopolitical instability (armed conflicts, civil unrest, labor strikes).

Effective Date

The "Effective Date" shall be determined as the earlier of: (i) the date of a User's initial access to the Platform; or (ii) the execution date of a written contract incorporating these Terms.

2. LICENSE GRANT & INTELLECTUAL PROPERTY RIGHTS

LMIPL grants you a limited, revocable license to use the LittleMove platform strictly in accordance with these terms. This license is non-exclusive, non-transferable, and may not be sublicensed to any third party. The scope of permitted use varies by user type:

  • For schools and educational institutions, this license permits internal deployment of the platform solely for managing student transportation operations
  • Parents are granted restricted access to use the Parent App exclusively for monitoring their own enrolled children's transportation
  • Drivers may only operate the Driver App for completing specifically assigned routes and trips

Prohibited Activities

You are expressly prohibited from:

  1. Reverse engineering, decompiling, or attempting to derive the platform's source code
  2. Commercially exploiting the platform through resale, leasing, or white-labeling
  3. Harvesting data through automated scraping or mining techniques
  4. Circumventing any security measures or access controls
  5. Removing, obscuring, or altering any proprietary notices or trademarks

All intellectual property rights in the LittleMove platform remain the exclusive property of LMIPL. This agreement does not transfer any ownership rights to you, and no licenses are granted except as expressly stated herein.

3. USER OBLIGATIONS & CONDUCT

All users of the LittleMove platform are required to adhere to the following obligations based on their role:

For Schools:

  • Ensure all student and driver records remain current and verified
  • Comply with all applicable data protection regulations
  • Implement comprehensive training programs for drivers
  • Report security incidents or data breaches within 24 hours

For Parents:

  • Responsibly monitor children's transportation without interfering with operations
  • Maintain strong, unique passwords for accounts
  • Refrain from generating false alarms or sending spam communications

For Drivers:

  • Do not operate the mobile application while the vehicle is in motion
  • Follow all prescribed routes exactly unless emergencies require deviation
  • Log operational irregularities immediately upon occurrence

Violation of these requirements may result in immediate suspension or termination of access privileges.

4. DATA PRIVACY & SECURITY OBLIGATIONS

LMIPL operates as a Data Processor in compliance with India's Digital Personal Data Protection Act (DPDPA) 2023, implementing robust security measures including:

  • AES-256 encryption for data protection
  • SOC 2 compliant controls
  • Annual third-party security audits

Educational institutions serve as Data Controllers for student records and are responsible for obtaining proper parental consent. In the event of any confirmed data breach, LMIPL will notify regulatory authorities within 72 hours.

5. PAYMENT TERMS & SUBSCRIPTION MANAGEMENT

Subscription fees are recurring charges billed monthly or annually in advance. Hardware deposits are fully refundable upon return of equipment in proper working condition. All quoted fees are exclusive of applicable taxes.

Accounts with overdue invoices exceeding 15 days will be subject to immediate service suspension. Late payments may be subject to interest charges at the maximum rate permitted by law.

6. DISCLAIMERS & LIMITATION OF LIABILITY

LMIPL functions exclusively as a technology aggregator platform and software service provider. It does not own or operate any vehicles, directly employ drivers, or exercise control over transportation operations.

The Platform is provided strictly on an "As Is" basis without any warranties whatsoever, including no guarantees regarding uninterrupted service or accuracy of third-party data.

Limitation of Liability

LMIPL shall not be liable under any circumstances for:

  1. Any physical harm or injury occurring during transportation
  2. Financial losses including lost profits or business disruption
  3. Consequences arising from third-party actions
  4. Any force majeure events

Schools bear responsibility for route planning and driver verification; Parents maintain responsibility for student safety decisions; and Drivers are responsible for safe vehicle operation.

7. TERMINATION & SURVIVAL

Either party may terminate this Agreement under the following conditions:

  • LMIPL may immediately suspend or terminate upon material breach
  • Users may terminate with 30 days' written notice
  • Users must retrieve data within 14 days of termination

Certain provisions shall survive termination, including confidentiality obligations, intellectual property protections, and limitation of liability clauses.

8. ADVERTISEMENTS AND THIRD-PARTY LINKS

The Platform may display third-party advertisements. LMIPL disclaims:

  • Endorsement of advertised products/services
  • Liability for accuracy, legality, or quality of Third-Party Ads
  • Responsibility for user transactions generated through Ads

External hyperlinks are provided for convenience only. Users acknowledge that LMIPL exercises no control over third-party content.

9. GOVERNING LAW & MISCELLANEOUS

This Agreement shall be governed by and construed in accordance with the substantive laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in [Delhi/NCR].

LMIPL reserves the right to seek injunctive relief in any competent jurisdiction to protect its intellectual property rights.

10. GRIEVANCE OFFICER

In compliance with Rule 3(11) of the Information Technology Rules, 2021, LMIPL has designated a Chief Grievance Officer to address user complaints regarding:

  • Alleged violations of these Terms & Conditions
  • Content-related disputes
  • Data privacy breaches
  • User misconduct

All grievances must be submitted in writing to [email protected]. LMIPL will acknowledge receipt within 24 hours and attempt resolution within 15 business days.

USER ACKNOWLEDGEMENT

BY PROCEEDING TO USE THE PLATFORM, YOU:

  1. AFFIRM THAT YOU HAVE READ, UNDERSTOOD, AND AGREED TO THESE TERMS;
  2. WAIVE ANY RIGHT TO A JURY TRIAL OR CLASS ACTION;
  3. CONSENT TO ELECTRONIC COMMUNICATIONS AND UPDATES.
